Introduction
Welcome to NuvoDesk Coworking! These Terms and Conditions ("Agreement") govern your use of the facilities, services, and memberships offered by NuvoDesk Coworking (“NuvoDesk,” “we,” “us,” or “our”). By becoming a member or utilizing any of our services, you ("Member," "you," or "your") agree to abide by these terms, as well as all applicable policies referenced herein.
This Agreement is intended to ensure a safe, professional, and productive environment for all members. Please read it carefully and contact us at office@nuvodesk.com if you have any questions.
General Membership Agreement
Legal Relationship
By entering into this Agreement, you acknowledge that your membership grants you a license to use the facilities and services provided by NuvoDesk in accordance with the terms outlined herein. This Agreement does not create a landlord-tenant or lessor-lessee relationship, nor does it grant you any real property interest in NuvoDesk facilities.
Agreement to Policies
Your membership is contingent upon your adherence to this Agreement and all other policies established by NuvoDesk, including but not limited to:

- Community Policy
- Virtual Mail Policy
- Guest Policy
- Cancellation Policy
- Refund and Credit policy
- Event Space Policy
- Accessibility Policy
- Cookie Policy
Membership Types and Benefits
Membership benefits and access privileges vary by membership type. You agree to use your membership strictly in accordance with the terms, limitations, and access rights associated with your chosen membership plan.
Shared Space Environment
NuvoDesk operates as a shared coworking environment. Members are expected to use the space respectfully, professionally, and in a manner that does not disrupt or interfere with others' use of the facilities.
Changes to Membership
NuvoDesk reserves the right to modify or update membership offerings, services, or pricing with advance written notice. Any changes will take effect at the start of the next billing cycle unless otherwise specified.
Member Responsibility
You are responsible for ensuring that your employees, agents, guests, and invitees comply with this Agreement and all related policies. Failure to comply may result in warnings, fines, or termination of your membership.
Acceptance of Policies
Acknowledgment and Agreement
By signing up for a membership or utilizing NuvoDesk’s services, you explicitly agree to comply with this Agreement and all related policies, which are incorporated by reference. These policies include, but are not limited to:
- Building and Access Policy
- Community Policy
- Virtual Mail Policy
- Guest Policy
- Cancellation Policy
- Refund and Credit policy
- Event Space Policy
- Accessibility Policy
- Cookie Policy
Binding Nature of Policies
The policies outlined above are binding and enforceable as part of your membership. It is your responsibility to review and adhere to the most current versions, which are made available on the NuvoDesk website or through written communication from NuvoDesk.
Policy Updates
NuvoDesk Coworking reserves the right to update or amend these policies at any time. Any significant changes will be communicated to members via email or other formal channels. Continued use of NuvoDesk facilities or services after such updates constitutes acceptance of the revised policies.
Scope of Applicability
This Agreement and its related policies apply to all members, employees, agents, and guests. By granting access to any guest or invitee, you assume responsibility for their compliance with NuvoDesk’s rules and policies.
Code of Conduct
Professional and Respectful Behavior
NuvoDesk Coworking is committed to fostering a professional and inclusive environment for all members, guests, and employees. Members are expected to:
- Treat others with courtesy, respect, and professionalism at all times.
- Use shared spaces, resources, and amenities responsibly and with consideration for others.
- Refrain from disruptive behaviors, including excessive noise, inappropriate language, or any activity that may disturb others.
Activities Restrictions
To maintain a safe, professional, and productive environment for all members and guests, the following restrictions and prohibited activities apply within NuvoDesk premises:
Prohibited Activities
- Illegal Activities: Engaging in illegal activities, including but not limited to drug use, theft, or fraud, is strictly forbidden.
- Harassment or Discrimination: Harassment, discrimination, or any behavior that violates applicable workplace laws and standards is prohibited.
- Weapons or Hazardous Materials: Possession or use of weapons, explosives, or hazardous materials is not permitted.
- Property Tampering: Tampering with or damaging NuvoDesk property or equipment is strictly prohibited.
- Unauthorized Access: Accessing another member’s office, desk, or belongings without permission is forbidden.
- Sleeping or Living Space: Sleeping or using the facility as a personal living space is not allowed, as NuvoDesk is a professional coworking environment.
Health and Safety
To ensure a safe environment for everyone, members must:
- Follow all health and safety guidelines, including those related to cleanliness and hygiene.
- Avoid bringing pets, hazardous materials, or any items that may pose risks to others.
- Refrain from entering the premises if exhibiting symptoms of contagious illnesses.
Enforcement of Conduct
Violations of this Code of Conduct will result in the following actions:
- First Violation: Verbal or written warning documented on the member’s account.
- Second Violation: Written notification with a reminder of the policies and potential consequences.
- Third Violation: Termination of membership, with access to NuvoDesk facilities and services permanently revoked.
Member Accountability
Members are fully responsible for the behavior of their guests, invitees, and agents while on NuvoDesk premises. Any misconduct by guests will be treated as a violation by the hosting member.
Liability Waiver
Waiver of Claims
To the extent permitted by law, you, on behalf of yourself, your employees, agents, guests, and invitees, hereby waive any and all claims and rights against NuvoDesk Coworking, its affiliates, employees, agents, officers, and successors ("NuvoDesk Parties") for any injury, damage, loss, or theft occurring on or within NuvoDesk premises, except in cases of gross negligence, willful misconduct, or fraud by the NuvoDesk Parties.
Property Loss or Damage
NuvoDesk is not responsible for:
- Theft, loss, or damage to personal property, including items left in shared areas, private offices, or storage spaces.
- Damage caused by third parties, including other members, their guests, or vendors.
Personal Injury
NuvoDesk is not liable for injuries sustained by members, their employees, guests, or invitees while using the premises, except were caused by the gross negligence or willful misconduct of NuvoDesk.
Use of Amenities
Members use all NuvoDesk facilities, including shared spaces, private offices, conference rooms, and amenities, at their own risk. NuvoDesk does not guarantee uninterrupted access to services such as Wi-Fi, utilities, or equipment and is not liable for any resulting inconvenience or loss of productivity.
Force Majeure
NuvoDesk shall not be held responsible for delays, interruptions, or failures in performance resulting from events beyond its reasonable control, including but not limited to natural disasters, acts of God, government restrictions, or power outages.
Indemnification
Members agree to indemnify and hold harmless NuvoDesk Parties from any claims, liabilities, and expenses (including attorney's fees) arising from their actions, the actions of their employees or guests, or violations of this Agreement.
Payment Terms
Membership Fees
Membership fees are determined during the initial agreement and are non-negotiable once finalized. Any requested changes to the membership (e.g., upgrades, downgrades, or cancellations) require a 30-day written notice to NuvoDesk at office@nuvodesk.com.
Payment Schedule
- Due Dates: Membership fees are due on the 1st of each month for active accounts.
- Automatic Attempts: If a payment fails on the 1st, the system will automatically retry on the 2nd, 3rd, 4th, and 5th.
Prepaid Memberships
Prepaid members are exempt from automatic payment attempts during their prepaid term. No refunds will be issued for unused prepaid periods unless explicitly stated in the Refund Policy.
Advanced Payment Option
Members may make advanced payments for their membership. To do so, submit a written request to office@nuvodesk.com, and a NuvoDesk Manager will assist with processing and applying the payment.
Updating Payment Information
Members are responsible for maintaining up-to-date payment information. Changes can be made at any time via the Member Portal at nuvodeskarlington.spaces.nexudus.com.
Accepted Payment Methods and Inquiries
NuvoDesk accepts most major credit cards and ACH transfers. Cash payments are also accepted but must be made in person. For assistance with payment methods or account inquiries, please reach out to the NuvoDesk Office Team:

Fees and Penalties
NuvoDesk reserves the right to apply the following fees to delinquent accounts:
- Failed Payment Fee: $25 per failed transaction.
- Late Fee: $50 if payment is not received within five (5) days after the due date.
- Reactivation Fee: $50 to reactivate suspended accounts.
If you experience a failed payment and decide to cancel your account, you must submit a written cancellation request. Cancellation will take effect 30 days from the date of your written request. Any failed payment and late fees will still be applied to your final invoice, but the reactivation fee will not be charged.
If you choose to rejoin NuvoDesk in the future, the reactivation fee must be paid at that time.
Failure to Pay
Membership privileges, including access to facilities and services, may be suspended or terminated for non-payment. All outstanding fees must be resolved before membership can be reinstated.
Facility Usage
General Use of Facilities
NuvoDesk provides access to a variety of shared spaces and amenities designed to foster productivity and collaboration. Members are expected to use these facilities responsibly and in accordance with the following guidelines:
- Shared Spaces: Includes common areas, shared desks, conference rooms, phone booths, collaboration zones, and the kitchen/dining areas.
- Private Offices: Reserved for members with private office memberships. Non-members or guests may only access these spaces with the member present.
- Specialized Rooms: Includes the podcast room, media production room, and wellness room. Use is subject to additional booking and usage policies.
Respecting Shared Spaces
Members must:
- Keep noise levels appropriate, especially in phone booths and shared desk areas.
- Clean up after themselves in all public spaces, including the kitchen and dining areas.
- Avoid monopolizing shared resources like seating, outlets, and equipment.
Prohibited Activities in Facilities
The following are not permitted in any part of NuvoDesk’s facilities:
NuvoDesk reserves the right to assess, approve, or disallow any activity taking place at NuvoDesk coworking to ensure compliance with these policies and maintain the integrity of the coworking space.
To maintain a safe, professional, and productive environment, the following are examples of activities that are prohibited:
- Counseling and Therapy Services: Professional counseling or therapy services are prohibited unless explicitly approved by NuvoDesk management.
- Medical and Clinical Services: Conducting medical or clinical services—including diagnostic testing, drug testing, or physical examinations—is not allowed, except for approved medical training involving limited use of medical materials.
NuvoDesk reserves the right to review and assess any other activity to ensure it complies with these policies and does not disrupt the coworking environment.
Food and Beverage Guidelines
- Kitchen and Dining Areas: Food and drinks are permitted, but members must clean up after use and store perishables appropriately.
- Prohibited Areas: No food or beverages are allowed in phone booths, the podcast room, or the media production room to maintain cleanliness and protect equipment.
Booking and Use of Specialized Facilities
Members must book conference rooms, podcast rooms, and other specialized facilities 48 hours in advance using the NuvoDesk Member Portal or app. Refer to Conference Room Policy for detailed booking rules and usage terms.
Equipment and Internet Usage
- Members may use shared equipment, such as printers, scanners, and AV tools, but must report any malfunctions to NuvoDesk staff immediately.
- Internet access is provided as part of membership, and members must not engage in illegal or unethical activities online.
Personal Belongings
NuvoDesk is not responsible for lost, stolen, or damaged personal belongings. Members are encouraged to store valuables securely and avoid leaving items unattended in shared areas.
Cleanliness and Maintenance
NuvoDesk provides cleaning services for common areas and private offices (as applicable), but members are responsible for maintaining a tidy workspace. Any damage or maintenance issues should be reported to NuvoDesk staff promptly.

Detailed rules for specific facilities are outlined in separate policies, including:
- Building and Access Policy for security and access guidelines.
- Conference Room Policy for booking and usage rules.
- Community Policy for member interactions and shared space etiquette.
Amendments and Updates
Right to Amend
NuvoDesk reserves the right to modify, update, or amend these Terms and Conditions and any related policies at its sole discretion. Such changes may be made to reflect updates in services, operational requirements, legal compliance, or other business needs.
Notification of Changes
NuvoDesk will provide written notice of significant amendments or updates to this Agreement. Notices may be sent via email, posted on the NuvoDesk website, or communicated through the Member Portal.
Effective Date of Changes
Unless otherwise specified, all amendments or updates will take effect at the start of the next billing cycle following the date of notification. Members who continue to use NuvoDesk services after the effective date of changes will be deemed to have accepted the updated terms.
Member Responsibility
It is the responsibility of all members to stay informed of any amendments or updates to this Agreement or related policies. Members should review notifications promptly and reach out to NuvoDesk with any questions or concerns.
Exception to Immediate Changes
In cases of changes required for urgent legal compliance or to address operational emergencies, NuvoDesk reserves the right to implement updates immediately. Members will be notified of such changes as soon as reasonably possible.
Termination of Membership
Termination by Member
Members may terminate their membership by providing written notice in accordance with the Cancellation Policy. The notice period varies by membership type, and any outstanding fees or obligations must be resolved prior to termination.
Termination by NuvoDesk
NuvoDesk reserves the right to terminate a membership at its sole discretion under the following circumstances:
- Policy Violations: Failure to comply with these Terms and Conditions or any related policies (e.g., Guest Policy, Community Policy).
- Non-Payment: Failure to pay membership fees or other charges as outlined in the Payment Terms.
- Misuse of Facilities: Activities that disrupt the professional environment, damage property, or endanger others.
- Illegal Activities: Engagement in illegal or unethical activities on NuvoDesk premises.
Notice of Termination
- Voluntary Termination: Members must submit termination requests in writing to office@nuvodesk.com within the required notice period.
- Involuntary Termination: NuvoDesk will issue written notice of termination, detailing the reason for the decision and any steps required to address outstanding issues. However, NuvoDesk reserves the right to terminate a membership without providing a specific reason
Consequences of Termination
Upon termination of membership:
- Access to NuvoDesk facilities, services, and amenities will be revoked immediately.
- Any outstanding fees, including damages or penalties, must be paid in full.
- Members must remove personal belongings from the premises within seven (7) business days, unless otherwise agreed upon.
Non-Reinstatement Policy
Members whose memberships are terminated due to policy violations or non-payment will not be eligible for reinstatement or future membership at NuvoDesk.
Corporate Memberships
For corporate memberships, any violations or terminations will be communicated directly to the primary account holder. Termination of individual team members may not result in the termination of the overall corporate account unless specified.
Disputes Regarding Termination
Members disputing termination decisions may request a review in writing within seven (7) business days of the termination notice. NuvoDesk will review the request and provide a final determination.
Legal Compliance
Compliance with Laws
Members must conduct their activities in full compliance with all applicable local, state, and federal laws, as well as international laws where relevant. This includes, but is not limited to:
- Anti-discrimination and harassment laws.
- Regulations governing intellectual property, data privacy, and cybersecurity.
- Anti-money laundering (AML) and anti-bribery laws.
Ethical Conduct
Members are expected to uphold the highest standards of ethical behavior in all interactions, both within NuvoDesk and in business activities conducted from the premises.
Prohibited Activities
The following actions are strictly prohibited on NuvoDesk premises or through NuvoDesk services:
- Use of NuvoDesk facilities for illegal, immoral, or defamatory purposes.
- Storage, distribution, or use of prohibited or hazardous materials.
- Activities that violate the intellectual property rights of others, such as unauthorized copying or distribution of copyrighted materials.
Member Responsibility
Members are responsible for ensuring their employees, agents, and guests comply with all applicable laws and regulations while on NuvoDesk premises or using NuvoDesk services.
Cooperation with Authorities
NuvoDesk will cooperate fully with law enforcement, regulatory agencies, or other authorities as required by law. Members may be required to provide documentation or information to verify compliance with legal requirements.
Violation of Legal Compliance Requirements
Violation of this policy may result in immediate termination of membership, as outlined in the Termination of Membership section. NuvoDesk reserves the right to pursue further legal action if deemed necessary.
Acknowledgment of Responsibility
By agreeing to these Terms and Conditions, members acknowledge their responsibility for ensuring legal compliance in all activities conducted on NuvoDesk premises or using NuvoDesk services.
Dispute Resolution
Governing Law
This Agreement, including any disputes or claims arising out of or relating to it, shall be governed by and construed in accordance with the laws of the State of Texas, U.S.A., without regard to its conflict of laws principles.
Arbitration and Venue
- Any dispute, controversy, or claim that cannot be resolved amicably between the parties shall be resolved exclusively through binding arbitration.
- Arbitration shall be conducted under the rules of a recognized arbitration organization and overseen by one or more arbitrators appointed in accordance with those rules.
- The arbitration venue shall be Arlington, Texas, U.S.A.
Class Action Waiver
- Individual Proceedings Only: All disputes must be resolved on an individual basis. Members expressly waive the right to:
- Participate in any class action or representative proceeding.
- Consolidate or combine claims with those of other members or entities.
- Seek relief as a private attorney general or in any other representative capacity.
- Acknowledgment of Waiver: By agreeing to these Terms and Conditions, members explicitly acknowledge their waiver of the right to participate in class arbitration or class action lawsuits.
Confidentiality of Proceedings
All arbitration proceedings, including the existence of the dispute, the arbitration process, and the outcome, shall remain strictly confidential unless disclosure is required by law.
Finality of Arbitration Award
The arbitrator’s decision shall be final and binding on both parties. Judgment on the arbitration award may be entered in any court of competent jurisdiction.
Recovery of Costs
The prevailing party in any arbitration or legal proceeding to enforce this Agreement shall be entitled to recover reasonable attorneys’ fees, court costs, and related expenses, including those associated with appeals or enforcement actions.
Injunctive Relief
Notwithstanding the arbitration clause, either party may seek injunctive relief or other equitable remedies in a court of competent jurisdiction if necessary to prevent immediate and irreparable harm.
Waiver of Claims
Scope of Waiver
To the fullest extent permitted by law, you, on behalf of yourself, your employees, agents, guests, and invitees, waive any and all claims, rights, and remedies against NuvoDesk Coworking, its affiliates, employees, agents, officers, landlords, and successors ("NuvoDesk Parties") for:
- Injury or damage to persons, including personal injuries or emotional distress.
- Loss, theft, or destruction of property, including equipment, belongings, and vehicles.
- Disruption of business operations due to facility closures, service outages, or other unforeseen events.
Exceptions
This waiver does not apply to damages or losses caused by the gross negligence, willful misconduct, or fraud of NuvoDesk Parties.
Assumption of Risk
By using NuvoDesk facilities and services, you acknowledge and assume all risks associated with a shared coworking environment, including but not limited to:
- Exposure to shared equipment and amenities.
- Interaction with other members and their guests.
- Potential technical interruptions, such as internet outages or equipment malfunctions.
No Warranty
NuvoDesk makes no representations or warranties, express or implied, regarding the condition, safety, or security of the premises or the reliability of its services. Members are encouraged to secure their own insurance for personal property and liability.
Limitation of Liability
Monetary Liability Cap
To the extent permitted by law, the total monetary liability of NuvoDesk Coworking and its affiliates, employees, agents, officers, landlords, and successors ("NuvoDesk Parties") for any claims, damages, or losses arising out of this Agreement or your use of NuvoDesk facilities and services shall not exceed the total membership fees paid by you to NuvoDesk in the twelve (12) months preceding the claim.
Exclusion of Indirect Damages
Under no circumstances shall NuvoDesk Parties be liable for:
- Indirect, incidental, or consequential damages.
- Loss of profits, business interruption, or anticipated savings.
- Damages resulting from reliance on advice, recommendations, or information provided by NuvoDesk staff or materials.
Time Limitation on Claims
Any claim or cause of action against NuvoDesk must be initiated within one (1) year from the date the cause of action accrued. Claims filed after this period will be deemed waived and barred.
Member Responsibility for Guests
You are solely responsible for the actions and behaviors of your employees, guests, and invitees. NuvoDesk shall not be held liable for any damages or disputes arising from their presence on the premises. Refer to our Guest Policy for more information.
Force Majeure
NuvoDesk shall not be held liable for any failure to perform its obligations due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, strikes, government actions, or pandemics.
No Guarantee of Results
NuvoDesk does not guarantee specific outcomes, such as increased productivity, profitability, or professional success, as a result of using its facilities or services.
Indemnification
Member Responsibility
You agree to indemnify, defend, and hold harmless NuvoDesk Coworking, its affiliates, employees, agents, officers, landlords, and successors ("NuvoDesk Parties") from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney’s fees) arising out of or related to:
- Your use of NuvoDesk facilities or services.
- The actions, omissions, or misconduct of your employees, guests, invitees, or agents.
- Any breach or alleged breach of this Agreement or related policies by you or your representatives.
Third-Party Claims
You are responsible for resolving disputes or claims brought by third parties, including your guests, clients, or vendors, in connection with their presence on NuvoDesk premises or their use of NuvoDesk services.
Property Damage and Personal Injury
You shall indemnify NuvoDesk Parties for any damages, losses, or injuries caused by you, your guests, or your agents to NuvoDesk property, employees, members, or other guests.
Restrictions on Settlements
You may not settle any claim or lawsuit involving NuvoDesk without obtaining prior written consent from NuvoDesk. Any settlement that imposes obligations on NuvoDesk Parties or adversely affects NuvoDesk's interests without written consent will not be binding on NuvoDesk.
Exceptions to Indemnification
This indemnification obligation does not apply to claims, damages, or losses resulting solely from the gross negligence, willful misconduct, or fraud of NuvoDesk Parties.
Insurance
Member Responsibility
It is the sole responsibility of members to secure and maintain appropriate insurance coverage for their activities, property, and liabilities while using NuvoDesk facilities. NuvoDesk does not provide insurance coverage for members, their employees, or their guests.
Recommended Insurance
NuvoDesk encourages members to consider the following types of insurance coverage, as applicable:
- General Liability Insurance: Covers property damage, personal injury, and third-party claims arising from your business operations.
- Property Insurance: Protects your personal or business property, including equipment, materials, and valuables stored or used on NuvoDesk premises.
- Workers’ Compensation Insurance: Covers injuries to your employees or agents if required by law.
Optional Insurance for Members
For businesses with unique needs or higher risks, additional coverage options may include:
- Professional liability insurance (e.g., errors and omissions).
- Cybersecurity insurance for businesses managing sensitive data.
No Liability for Uninsured Losses
NuvoDesk shall not be held liable for any damages, losses, or claims related to uninsured risks, including theft, fire, or natural disasters affecting your property or business.
Proof of Insurance
At NuvoDesk’s discretion, members may be required to provide proof of insurance coverage before accessing certain facilities, hosting events, or engaging in activities that involve elevated risk.
Third-Party Services
Independent Providers
NuvoDesk may facilitate access to third-party services or products ("Third-Party Services") for the convenience of members. These services are provided solely by independent third-party vendors ("Third-Party Providers") and are not managed, endorsed, or guaranteed by NuvoDesk.
Separate Agreements
Third-Party Services are subject to separate terms and conditions as determined by the respective Third-Party Providers. Members are responsible for reviewing and agreeing to those terms before using the services. NuvoDesk is not a party to these agreements.
No Liability for Third-Party Services
NuvoDesk is not liable for:
- The performance, quality, or availability of Third-Party Services.
- Any damages, losses, or disputes arising from the use of Third-Party Services.
- Errors, delays, or interruptions caused by Third-Party Providers.
Member Responsibility
By using Third-Party Services, you agree to:
- Directly resolve any issues or disputes with the Third-Party Provider.
- Release NuvoDesk from any claims or liabilities associated with Third-Party Services.
NuvoDesk Marketplace
NuvoDesk offers a platform where members can discover and purchase Third-Party Services. All listings, advertisements, and promotions on this platform are for informational purposes only and do not represent endorsements by NuvoDesk.
Authorization to Access Services
When authorizing a member of your organization to access Third-Party Services via NuvoDesk’s platform, you accept full responsibility for their actions and compliance with the Third-Party Provider’s terms.
Extraordinary Events (Force Majeure)
Definition of Force Majeure
NuvoDesk shall not be held liable or deemed in breach of this Agreement for any failure or delay in fulfilling its obligations due to circumstances beyond its reasonable control. These circumstances include, but are not limited to:
- Natural disasters (e.g., earthquakes, floods, hurricanes).
- Acts of God.
- Government actions, regulations, or restrictions.
- War, terrorism, or civil unrest.
- Strikes, labor disputes, or work stoppages.
- Utility outages, including power, water, or internet interruptions.
- Pandemics or public health emergencies.
Effect on Services
In the event of a Force Majeure occurrence:
- NuvoDesk reserves the right to temporarily suspend, reduce, or modify access to facilities and services without liability for any resulting losses or damages.
- Membership fees will not be refunded unless explicitly stated in the Refund Policy.
Member Obligations During Force Majeure
Members must continue to comply with all applicable policies and maintain their financial obligations to NuvoDesk unless otherwise communicated.
Notification of Force Majeure
NuvoDesk will make reasonable efforts to notify members of any anticipated or ongoing disruptions caused by Force Majeure events.
Duration of Suspension
NuvoDesk will resume normal operations as soon as reasonably possible after the Force Majeure event is resolved. Any temporary measures taken during this period shall not constitute a breach of this Agreement.
